First of all, "aspect 1" is 1:1.

Secondly, 352x288 at 24fps may be a bit confusing to your player.
352x288 is usually used in PAL, while 24.000 fps is not PAL.

You might consider using cvs mencoder, and adding "-mpegopts
vaspect=4:3" to your command line. You might also consider targetting
24000/1001 as your output framerate, although I suppose it's not likely
this is related to your problem. But I've known dvd players to
occasionally make interesting guesses based on frame size only.
