ok,

the "bug" solved.

fps = 19.78 and now it's perfect

i tried to find the correct framerate by testing a short ( 20sec ) part of 
the movie and using -oac copy -ovc copy.

fps 15: skip frame every 0.2 sec
fps 20: duplicate frame every 2 sec
fps 18: skip frame every 0.5 sec
fps 19: skip frame every 1 sec
fps 19.5: skip frame every 6.3 sec
fps 19.78 : in every 3-7 sec there is a skip or duplicate frame

now i understand how to find it out, but:

1. are there some "standard" or most-used fps-values?

2. isn't there a way for mencoder to auto-detect it?
	i don't know the internals of mencoder/mplayer but i think if mplayer is 	
able to play the asf correctly, then there is a way to automatically find out 
the fps... or not?
